Terms and Conditions
To use the voucher code offering a discount off the price of goods in your next order:
- Your order must be placed during the Offer Period specified in the voucher;
- Your order must be on the account specified in the offer - and where a CID is also specified, by that CID only (the “Participating Account”); and
- You must provide the code to us before the order process is concluded.
The following customers may not take part in this offer:
- Customers with whom bespoke pricing terms, discounts or other negotiated contractual terms have been agreed;
- Customers who are consumers;
- Any officer, employee or agent of Newark;
- Anyone under the age of 18 years;
- Individuals or entities deemed by Newark to be its competitors or suppliers (and so that Newark’s decision as to which such individuals or entities are its competitors or suppliers shall be final).
Newark further reserves the right to refuse to allow any person or entity to take part in this offer (including, without limitation, any customer which does not pay amounts invoiced by Newark strictly in accordance with the payment terms in place with that customer) and Newark’s decision to do so will be final. The voucher code is valid on US orders only.
The code cannot be used with any other discounts, offers or promotions. The voucher code is non-transferrable and cannot be redeemed for cash. It cannot be used on orders where we have provided quoted prices or for test & measurement goods, development kits & tools, soldering equipment, software or Raspberry Pi products. If any goods purchased as part of any order to which the code has been applied are returned for refund or exchange the amount of any credit available in respect of them will reflect the price paid after application of any discount.
The code may be used only to reduce amounts payable on an order placed by the Participating Account during the Offer Period. It can only be used to reduce the purchase price of products (excluding any amounts payable in respect of taxes, shipping & handling charges, freight or other costs or charges). Other restrictions may apply.
The code is not available for use on any other account or CID or for personal use. Some organizations prohibit or restrict participation in offers such as these; some participation is prohibited or restricted by local laws or regulations. Each Participating Account should check that he/she/it is able to participate, whether any consents or licenses are needed to do so and, if so, to obtain and comply with them. If any Participating Account becomes aware that he/she/it is prohibited from or restricted in taking part, he/she/it must notify Newark immediately. Participation in this offer will be void if prohibited or restricted by any policies, rules, standards, law or regulation binding on the relevant Participating Account. It is the responsibility of each Participating Account to get any consents or permissions which are required to allow it to take part in this offer or use the code under it.
Each Participating Account is responsible for accounting for and paying any tax arising as a result of the use of the code, including without limitation, any obligation of notification or disclosure connected with the receipt and/or use of any code and shall be properly made by it in a timely fashion.
Newark confirms that nothing in these terms will affect any liability of Newark for death or personal injury arising from its negligence, for breach of any mandatory consumer legislation under which liability may not be excluded or for any matter in relation to which it would be illegal for Newark to exclude or to attempt to exclude its liability. Subject as aforesaid, neither Newark, its parent company nor any subsidiary of Newark or such parent company or any of their directors, officers and employees (together referred to in these terms and the “Associates”) makes any guarantee, warranty or representation of any kind, express or implied, with respect to this offer or any code available under it. Neither Newark nor any of its Associates shall be responsible for any Liability that may arise out of or in connection with any Participating Account’s participation in this offer, the claiming, application or use of any code under it or any events or circumstances arising out of or in connection with any of them. Any implied warranties of condition, merchantability or suitability or fitness for purpose of any of them are hereby expressly excluded. Wherever used in these terms, “Liability” shall mean any and all costs, expenses, claims, damages, actions, proceedings, demands, losses and other liabilities (including legal fees and costs on a full indemnity basis) arising directly or indirectly out of or in connection with the matter concerned.
Any dispute or claim arising out of or in connection with this offer shall be governed by and construed in accordance with the laws of the State of Ohio, without giving effect to any conflict of law rules, and venue shall be in the federal and state courts of Summit County, State of Ohio, United States of America.
Newark reserves the right to modify these terms and cancel this offer as necessary due to circumstances outside of its reasonable control or due to legal requirements. Newark will not be liable for any such modification or cancellation.
